RECOMMENDATION
Staff recommends that the Culver City Cultural Affairs Foundation Board (Foundation Board) introduce new board member(s).
BACKGROUND/DISCUSSION
The Foundation’s 501(c)(3) status requires the existence of a Board of Directors. Pursuant to the Foundation’s Bylaws (Bylaws), the Board of Directors consists of eight (8) members as follows:
1) Each member of the Cultural Affairs Commission (CAC) shall appoint one member to the Board (Five Members);
2) The Chair and Vice Chair of the Commission shall each serve as a member to the Board (Two Members); and
3) The City Manager of the City of Culver City, or a person designated by the City Manager, shall serve as the Chief Executive Officer (the “CEO”) of the Foundation (One Member).
The five appointed members of the Board shall serve a maximum of two terms, for so long as the Commissioner who appointed that member remains on the Commission, for up to eight years.
According to the Bylaws, an individual must live, work or own property or a business within Culver City or have a special, widely-recognized interest in improving cultural affairs of the community or region in order to be eligible for appointment to the Board.
Chair and Vice Chair of the Cultural Affairs Commission: On Tuesday, August 11, 2015, the CAC met and elected Regina Klein as Chair and Len Dickter as Vice Chair for Fiscal Year 2015/2016. In accordance with the Bylaws, Chair Klein and Vice Chair Dickter are members of the CAF Board.
CAC Appointments to the Foundation Board: On May 26, 2015, the City Council appointed Rich Cherry to the Cultural Affairs Commission office vacated at the end of June by Marla Koosed (Ms. Koosed had served the maximum two terms on the CAC). Commissioner Cherry has appointed Robert Cicchini to the Foundation Board. Mr. Cicchini is a long-time resident of Culver City and an actor, director, and acting teacher.
Currently there is still one Foundation Board seat that has not been filled which was vacated by Andrew Lachman who submitted his resignation in September of last year because he had accepted a full-time position in Washington, DC and had moved out of the area. Cultural Affairs Commissioner Thomas Small, who appointed Mr. Lachman, has not yet announced his appointment to fill the vacancy.
